These General Terms & Conditions ("Terms") govern your use of our Website as well as of any services we provide to you under separate agreements. By accessing or using our Website or using any of our services, you agree to be bound by these Terms and our Privacy Policy.

2.1 PrivacyFrame offers consulting services focused on privacy compliance, including but not limited to:

  • Data Protection Officer role outsourcing;
  • GDPR compliance assessments (audits);
  • Privacy Policy frameworks creation and drafting;
  • Data protection impact assessments (DPIAs) and keeping of Records of Processing Activities (RoPA);
  • General personal data protection consultancy;
  • Staff training on data protection;
  • Ongoing compliance support.

2.2 Our services are designed to assist organizations in understanding and meeting their data protection obligations under applicable laws. The specifics of our services may evolve over time, and we reserve the right to modify or discontinue any aspect of our services at our discretion.

NOTE: any of the services we provide are delivered stricly based on a separate services agreements we conclude with you with respect to a particular request you communicate to us.

3. Your Responsibilities

3.1 By using our Website and/or by separately contracting with us, you agree to:

  • Provide accurate and complete information necessary for us to advice on the matters agreed in advance when interacting with our services.
  • Use our services in compliance with applicable laws and regulations and only for legitimate purposes.
  • Not engage in any activity that disrupts or interferes with our services or Website.

4. Intellectual Property. Confidentiality.

4.1 All content available on our Website, including text, graphics, logos, and software, is the property of PrivacyFrame or its content suppliers and is protected by intellectual property laws. 4.2 Any materials, information, content provided to you within the course of delivering any of our services shall remain our exclusive intellectual property, unless otherwise is explicitly specified by the relevant services agreement concluded with you.

4.3 The fact of our collaboration, including any communications made through the means of Website, the terms and course of performance of any contract concluded between you and PrivacyFrame shall be confidential and not subject to disclosure ("Confidential Information"). You agree to maintain in strict confidence all Confidential Information and to not, without the express prior written consent of PrivacyFrame, disclose such Confidential Information or use such Confidential Information other than to fulfill its obligations hereunder.

5. Limitation of Liability. No warranty. Indemnification

5.1 To the extent permitted by law, PrivacyFrame shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Website or services.

5.2 No warranty: moreover, by using any of our services (consulatncy products) you acknowledge that any consultations provided by PrivacyFrame have a purely advisory nature and that PrivacyFrame does not give any warranties regarding any decisions taken by yourself based on any consultations/advice given by PrivacyFrame. Thus, you agree to carry full and sole responsibility for any such decisions.

5.3 You agree to indemnify and hold harmless PrivacyFrame and its affiliates from any claims, damages, losses, or expenses arising out of your violation of these Terms or your use of our services.

6. Miscellaneous

6.1 Changes. We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date. Your continued use of our Website after any changes indicates your acceptance of the new Terms.

6.2 Applicability. These Terms contain the general conditions applicable to any separate service agreement which may be concluded between you and PrivacyFrame. Once you enter such a separate agreement, it shall constitute the entire understanding between the Parties relating to the subject matter herein, and merges all prior discussions, whether through officers, directors, salespersons, employees or consultants. In case of contradictions between these Terms and the separate service agremeement you have with PrivacyFrame, the present Agreement shall prevail unless otherwise is provided herein.

6.3 No partnership or agency. You and PrivacyFrame shall are independent parties and no partnership, joint venture or employment relationship shall occur upon your use of any of our services.

6.4 Applicable law. These Terms and any dispute or claim arising out of or in connection with your use of any of our services shall be governed by and construed in accordance with the English law.

6.5 Jurisdiction. Subject as provided below, the courts of Cyprus shall have exclusive jurisdiction over any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation. Nothing in this clause shall limit the right of PrivacyFrame to take proceedings against you in any other court of competent jurisdiction, nor shall the taking of proceedings in any one or more jurisdictions preclude the taking of proceedings in any other jurisdictions, whether concurrently or not, to the extent permitted by the law of such other jurisdiction.

6.6 Severability. If any provision of these Terms or of any of your separate agreement with PrivacyFrame is held to be invalid, illegal or unenforceable for any reason, such invalidity, illegality or unenforceability shall not affect any other provisions of these Terms or of such separate agreement, and they shall be construed as if such invalid, illegal or unenforceable provision had not been contained therein.
